A corporation (sometimes called a regular corporation or C corporation) is different from a sole proprietorship and a partnership because it is a legal entity that is completely separate from the parties who own it. He can enter into binding contracts, buy and sell real estate, sue and be sued, be held liable for his actions and be taxed. Once companies reach a size, it is advantageous to organize themselves as companies so that their owners can limit their liability. Thus, on average, firms are much larger than firms that use other forms of ownership. As shown in Figure 6.2, businesses account for 18% of all U.S. businesses, but generate nearly 82% of revenues.3 Most large, well-known businesses are corporations, but so are many of the smaller businesses you`re likely to do business with. Sole proprietors do not have the same requirements. However, if the business owner plans to operate under a business name instead of their own name, they must register in their home state for a “fictitious business name” or DBA (“doing business like”). It offers webinars and other learning activities across the country.
For example, Ontario`s Small Business Access offers workshops, a helpline, funding and up-to-date information on legal requirements. Accordingly, this publication defines an SME (small and medium-sized enterprise) as a commercial facility with 1-499 paid employees, specifically: Incorporation: To form an LLC, you must pay a filing fee ($100 to $800) and have articles of incorporation when the corporation is formed. Company agreements are highly recommended, but not required by all states. Similar to a partnership agreement or a company`s bylaws, the LLC operating agreement establishes rules for the ownership and operation of businesses. A standard employment contract includes: The acquisition of complementary products motivated Adidas` acquisition of Reebok. As Adidas CEO Herbert Hailler explained on a conference call: “This is a unique opportunity. It`s a perfect fit for both companies because the companies complement each other so much. Adidas is based on athletic performance with products such as a motorized running shoe and advertising deals with superstars such as British footballer David Beckham. Meanwhile, Reebok plays a lot on merging sports and entertainment with promotional offers and products from Nelly, Jay-Z and 50 Cent. The suit could be deadly for Nike. Sure, Nike continues to thrive, but you can`t blame Hainer for his optimism.11 One of the main reasons people want to start their own business is the desire to be independent and “be your own boss.” Different legal structures give the owner more or less control and authority. However, there are trade-offs in all cases, because with autonomy and control comes responsibility. For example, if you are the sole owner of a business without employees, as a one-person show, you retain all the control, but you also have all the work and responsibility.
Other forms of business (such as partnerships) may mean relinquishing some control, but in return, responsibility (and responsibility) may be divided among several principals. More information about these trade-offs can be found later in the module. In a sole proprietorship, there is no separation between you and the company. You are entitled to all profits as well as all debts and obligations. You may even be held liable for responsibilities caused by your employees. Most large companies, such as Canadian Tire, are organized as corporations. A key difference between a corporation, on the one hand, and a sole proprietorship and partnership, on the other, is that corporations involve the separation of ownership and management. Companies sell shares of ownership that are publicly traded and managed by professional executives. These officers may own a significant portion of the company`s shares, but this is not a legal requirement.
Starting a business may involve little more than printing a few business cards, or it may involve hiring a corporate lawyer to draft corporate charters, agreements, and articles of association. As forms of business ownership become more complex, so do the costs associated with starting a business. Each entrepreneur must decide how long they want to wait before launching the business and how much of their own money they want to invest. This advice from professionals will make the process of writing a business plan easier and less stressful. Don`t let your enthusiasm stop you from taking the time to plan your business strategy and protect yourself legally or financially. A sole proprietor also benefits from pass-through taxation, so you report your business` income or loss in the same way. The difference is that you don`t have the option to file as a company. A form of ownership that is granted when the owners are not personally liable for the debts that the LLC accumulates (as in a corporation) and the LLC can be managed flexibly (as in a partnership). These are just some of the considerations that business owners need to consider when choosing a form of business ownership.
Many of these issues force owners to look far into the future of their business and imagine all the “what ifs” associated with self-employment. While it is possible to change the legal structure once the company is established, the more complex the business processes, the more complex the change will be.
